Please read these Terms of Service (“Terms”) carefully before using the RuNari platform operated by RuNari Ltd (“RuNari”, “we”, “us”). By creating an account or using the service, you agree to be bound by these Terms. If you do not agree, do not use the service.

1. Definitions

“Service” means the RuNari platform, website, API, and any associated software.
“User” means any individual who registers for and accesses the Service.
“Organisation” means the entity on behalf of which a User subscribes to the Service.
“Content” means any data, documents, text, images, or other materials uploaded to or created within the Service.

2. Account Registration

You must provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. You must be at least 16 years old to use the Service.

Each workspace is identified by a unique slug (e.g., yourorg.runari.net). Once a slug is reserved, it cannot be transferred. We reserve the right to reject slugs that violate these Terms or infringe third-party rights.

3. Acceptable Use

You agree not to:

Use the Service for any unlawful or fraudulent purpose
Upload malware, viruses, or malicious code
Attempt to gain unauthorised access to any part of the Service or another user's account
Reverse engineer, decompile, or otherwise attempt to derive the source code of the Service
Transmit spam, unsolicited communications, or infringe any third party's intellectual property rights
Use the Service in a way that disrupts, damages, or impairs its availability or performance

4. Subscription and Billing

The Service is provided on a subscription basis. Plan details and pricing are available at runari.net/pricing. Subscriptions renew automatically unless cancelled before the renewal date.

All payments are processed by Stripe. Prices are shown in GBP (British pounds) and are exclusive of VAT where applicable. We reserve the right to change pricing with 30 days' notice.

Refund policy: Subscription fees are non-refundable except where required by law. If you cancel, you retain access until the end of your billing period.

5. Free Plan

We offer a free plan with limited features. We may modify or discontinue the free plan at any time with reasonable notice. Free plan data is subject to the same retention policy as paid plans while the account is active.

6. Intellectual Property

6.1 Your Content

You retain ownership of all Content you upload to the Service. By uploading Content, you grant RuNari a limited, non-exclusive licence to store, process, and display your Content solely for the purpose of providing the Service to you.

6.2 Our Intellectual Property

The RuNari platform, including all software, design, trademarks, and documentation, is owned by RuNari Ltd and protected by intellectual property law. Nothing in these Terms grants you rights to use RuNari's intellectual property beyond what is necessary to use the Service.

7. Data and Privacy

Your use of the Service is subject to our Privacy Policy, which is incorporated into these Terms by reference. If you are processing personal data of others using the Service, you are responsible for ensuring you have a valid legal basis to do so.

8. Availability and Support

We aim for high availability but do not guarantee uninterrupted access to the Service. We reserve the right to perform scheduled maintenance (with advance notice where possible) and to take the Service offline in the event of a security incident.

9. Limitation of Liability

To the maximum extent permitted by applicable law, RuNari shall not be liable for:

Indirect, incidental, special, consequential, or punitive damages
Loss of profits, revenue, data, or goodwill
Any damages arising from unauthorised access to your account or Content

Our total aggregate liability to you for any claim shall not exceed the amount you paid to us in the 12 months preceding the claim.

Nothing in these Terms excludes our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded by English law.

10. Termination

You may close your account at any time from within the platform. We may suspend or terminate your account immediately and without prior notice if you violate these Terms or if required by law.

On termination, your access to the Service ends and your Content will be deleted within 30 days, unless we are required to retain it for legal purposes.

11. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

12. Changes to These Terms

We may update these Terms from time to time. Material changes will be notified by email to registered users at least 14 days before taking effect. Your continued use of the Service after changes take effect constitutes acceptance.
